Welcome to Resonant Mind Media, a platform operated by Ed Resonance LLC (“Company,” “we,” “us,” or “our”). By accessing or using our website, platform, services, and tools (collectively, the “Platform”), you (“User,” “Creator,” or “you”) agree to be bound by these Terms of Service (“Terms”).If you do not agree to these terms, you are strictly prohibited from using the Platform.

1.Nature of the Platform

Resonant Mind Media provides a digital marketplace for creators to upload, display, distribute, and sell digital media. We act solely as a technology provider and host. We do not endorse, guarantee, or take responsibility for any content uploaded by our users.

2.Content Ownership & Intellectual Property Rights

By uploading any media, audio, literature, art, or other digital assets (“Content”) to the Platform, you expressly represent and warrant the following:

▸100% Ownership. You absolutely and unequivocally own 100% of the rights, titles, and interests in the Content, or you have obtained all necessary legal licenses, rights, consents, and permissions to publish and sell the Content.

▸No Infringement. Your Content does not and will not infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights.

▸Total User Liability. Ed Resonance LLC and Resonant Mind Media are not responsible or liable in any capacity for any copyright infringement or intellectual property theft committed by you. If you upload copyrighted material that you do not own, you bear 100% of the legal and financial responsibility.

3.Prohibited Content — Zero Tolerance Policy

To protect the integrity of the Platform, the following content is strictly prohibited. Uploading any of the following will result in immediate termination of your account, forfeiture of access, and, where applicable, reporting to the appropriate legal authorities:

▸Pornography & Explicit Sexual Content. Absolutely no pornography, sexually explicit material, or non-consensual intimate imagery.

▸Child Sexual Abuse Material (CSAM). Zero tolerance for any imagery, text, or audio involving the sexualization or abuse of minors.

▸Hate Speech. No content that promotes, encourages, or incites violence, hatred, or discrimination against individuals or groups based on race, ethnicity, religion, disability, age, veteran status, sexual orientation, gender identity, or political affiliation. This explicitly includes religious hate speech and political hate speech.

▸Illegal Activity. Content that promotes or provides instructions on how to engage in illegal activities.

4.Content Labeling & Graphic Material

The Platform allows a wide range of creative expression, provided it does not violate the Prohibited Content rules. However, you are legally required to accurately label your Content prior to publication.

▸Graphic Content. If your Content contains graphic material, including but not limited to gratuitous violence, intense horror, or strong language, you must explicitly mark it using the Platform's content rating/warning system.

▸Failure to Label. Failing to accurately label graphic or violent content shifts all liability to the User and may result in the suspension or termination of your account.

5.Payments, Fees, and Third-Party Processors

Resonant Mind Media facilitates a marketplace, but does not process payments or handle financial data directly.

▸Stripe Integration. All financial transactions are processed securely through Stripe.

▸User Responsibility for Payouts. You are entirely responsible for setting up, managing, maintaining, and securing your Stripe account.

▸No Customer Service for Payments. Ed Resonance LLC and Resonant Mind Media provide absolutely no customer service or support for payment processing issues, chargebacks, delayed payouts, or fraudulent purchases. All payment-related disputes, processing errors, and customer inquiries regarding transactions must be handled strictly between you, the buyer, and Stripe.

▸Tax Liability. You are solely responsible for determining, collecting, reporting, and remitting any and all applicable taxes associated with your sales on the Platform.

6.Complete Indemnification (Hold Harmless)

You agree to defend, indemnify, and hold completely harmless Ed Resonance LLC, Resonant Mind Media, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

▸Your use of and access to the Platform.

▸Your violation of any term of these Terms of Service.

▸Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

▸Any claim that your Content caused damage to a third party.

In every situation possible, all legal, financial, and operational responsibility regarding your actions and your Content on this Platform falls entirely onto you, the User.

7.Limitation of Liability

To the maximum extent permitted by law, in no event shall Ed Resonance LLC or Resonant Mind Media be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this Platform.

The Platform is provided on an “as is” and “as available” basis. We make no warranties, expressed or implied, regarding the uptime, security, or functionality of the site.

8.Termination and Suspension

We reserve the absolute right to terminate, suspend, or restrict your account and your access to the Platform at any time, for any reason, without prior notice or liability. If we determine that you pose a legal or financial risk to Ed Resonance LLC, your account will be permanently deactivated.

9.Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Ed Resonance LLC is registered, without regard to its conflict of law provisions.
